Terms and conditions of trade

1. applicability and validity

1.1 All deliveries of goods from DENWAX.COM are subject to the following terms and conditions of delivery, unless derogated from by express written agreement.
1.2 Buyer’s indication of special conditions in the order form / order etc. are not considered as applicable conditions, unless DENWAX.COM written acceptance of these.

3. prizes

3.1 All prices are inclusive of VAT.
3.2 The final price will be reflected in sales, where the price is increased by the applicable VAT, cargo and other charges.
3.3 DENWAX.COM reserves the right to adjust prices for undelivered goods in the event of exchange rate changes, price increases by suppliers, raw material price increases, changes in wages, government intervention or similar circumstances.

4. Delivery

4.1 Delivery 1 to 3 working days. Subject to availability. Buyer informed if delivery cannot be normal.
4.2 Delivery is normally made by GLS or SAND SPEDITION but DENWAX.COM reserves the right to freely move freight provider.
4.3 Unless otherwise agreed, delivery DDP is made to a Danish address.
4.4 Delay in delivery does not entitle the buyer to cancel the contract.
4.5 For delivery of pallets. The customer must return the same number of interchangeable pallets to the carrier. Alternatively, the pallet will be invoiced to the buyer afterwards.

5. Payment

5.1 Payment in cash, unless otherwise agreed.
5.2 If the Buyer does not pay the purchase price on time, DENWAX.COM will not ship products.
5.3 The Buyer is entitled to retain any part of the purchase price as security for the fulfillment of any counterclaims relating to other deliveries and such retention will be considered a breach of contract.

6. Retention of title

Denwax.com has ownership of any delivery until payment is received.

7. Transport damage

Upon receipt of the goods that have suffered damage during transportation, this damage is documented with a photo. The photo submitted to info@denwax.com indicating which goods have suffered damage. The customer process the case and arrange replacement shipment.

8. Return of goods and right of return

You can return goods bought in our webshop within 14 days.

The goods must be returned in their original, unopened packaging at the buyer’s risk and expense. For goods delivered to a delivery depot (parcel shop) and not collected within 7 calendar days from the time of delivery, goods will be returned to us and you will be charged DKK 85 for return shipping + current delivery costs for any reshipment.

The period is counted from that day;

– Where you receive the order.

– Taking physical possession of the last good in the case of a contract for several different goods, ordered in one order but delivered individually or in batches.

– Obtain physical possession of the last lot, or the last part, in the case of a contract for the supply of goods consisting of several lots/parts.

– The first goods in physical possession, in the case of regular deliveries of goods over a certain period of time.

Cancellation must be notified to us no later than 14 days after the goods are first delivered to the selected receiving station, e.g. in a parcel box or at the specified recipient address, and from the cancellation you must return the shipment no later than 14 days after. The notification must be given by e-mail at info@denwax.com. In the notification, you must clearly state that you wish to exercise your right of withdrawal. You cannot cancel by simply refusing to accept the goods without giving clear notice. If you do not pick up the item after the delivery deadline and it is returned to us, you will pay the cost of shipping and any redelivery.

9. Consequential / indirect losses

DENWAX.COM is not liable to the buyer for any consequential or indirect loss arising out of or in connection with an agreement covered by these terms and conditions.

10. Complaints

A 2-year warranty is provided in accordance with the Sale of Goods Act. Our warranty covers defects in material and/or workmanship. You can have the item repaired, exchanged, refunded or reduced in price, depending on the specific situation. The complaint does not apply to defects or damage caused by improper handling of the product/service. You must complain within a “reasonable time” after you have discovered the defect/fault. Denwax will cover return costs to a reasonable extent.

10.1 Claims for defects, delays, product liability or other claims for compensation must be made in writing to denwax.com without undue delay.
10.2 Defects in a product resulting from natural wear and tear, damage, inadequate operation, accidental or otherwise, for which the buyer bears the responsibility or risk, do not constitute a defect.
10.3 Denwax.com’s liability for defects is limited to the replacement of defective goods.

11. Force majeure

DENWAX.COM shall be entitled to cancel orders or postpone agreed delivery of goods, and shall not be liable for any error, incompleteness or delay in delivery caused in whole or in part by circumstances beyond the reasonable control of India due to agreements resulting from war, civil war, insurrection, government restrictions on imports or exports, natural disasters, including but not limited to earthquakes, floods, major floods, tornadoes, volcanic eruptions and widespread labor, fire or the like, which should not or could not have been foreseen by the parties at the time of entering into this Agreement.

12. Partial invalidity

If one or more provisions of these Terms and Conditions are held to be invalid, illegal or unenforceable, none of the validity, legality or enforceability of any of the other provisions shall be affected or impaired thereby.

13. Disputes

Any dispute between the parties concerning the interpretation or scope of these terms and conditions of sale and delivery shall be governed by Danish law. Any dispute which cannot be settled amicably shall be brought before the court at the place of meeting of the denwax.
